Terms of Service

1. Agreement & Who We Are

By accessing or using ferrohq.com, or by engaging Ferro for services, you agree to be bound by these Terms of Service. Ferro is a B2B sales-development company. We build target prospect lists, run outbound outreach campaigns, and book qualified meetings for our clients. Ferro is operated as a sole proprietorship by Samarth Sharma, based in New Delhi, India.

2. Our Services

Ferro provides account-based outbound lead generation services, including identifying target accounts, drafting custom outreach copy, and managing sending infrastructure to secure sales meetings. Every formal engagement is governed by a separate, customized written agreement. These Terms of Service apply to your general use of our website and act as a baseline supplement to any signed agreements.

3. Eligibility & Client Responsibilities

You must be at least 18 years old and represent a valid business entity to use our services. You agree to provide accurate information regarding your business, product, and Ideal Customer Profile (ICP). Your product or service must be lawful. You will not ask or require Ferro to send false, deceptive, or misleading claims on your behalf. You remain solely responsible for your own product, service fulfillment, and successfully closing any deals generated from meetings we book.

4. No Guarantee of Results

Outbound outreach outcomes inherently vary based on market conditions, product-market fit, and industry trends. Except as expressly and specifically stated in a signed written agreement, Ferro does not guarantee closed deals, specific revenue targets, or a specific minimum number of booked meetings.

5. Fees & Payment

Fees are determined and scheduled according to your signed agreement. Unless otherwise specified, all invoices are strictly payable within 15 days of receipt. The client is responsible for bearing any applicable local taxes. Late payments may result in an immediate pause of campaign work until the balance is resolved.

6. Intellectual Property

You retain full ownership of your own brand, trademarks, internal data, and the final prospect and meeting data delivered to you for your use. Ferro retains full and exclusive ownership of all proprietary methods, research frameworks, sequence structures, copywriting templates, and website content. Engaging our services does not transfer ownership of Ferro's internal systems or frameworks to the client.

7. Confidentiality

Both parties agree to maintain strict mutual confidentiality. Neither party will disclose proprietary strategies, internal metrics, or non-public business information shared during the course of an engagement without prior written consent, except as required by law.

8. Independent Contractor

Ferro operates solely as an independent contractor. Nothing in these Terms or any subsequent agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship between Ferro and the client.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ferro's total aggregate liability for any claims arising out of or related to our services is strictly limited to the total fees paid by the client in the three (3) months immediately preceding the claim. Ferro is not liable for any indirect, incidental, or consequential losses, including but not limited to lost profits, lost data, or lost deals.

10. Compliance With Law

Both parties agree to comply with all applicable laws related to their operations. This includes strict adherence to anti-spam legislation, such as the CAN-SPAM Act, regarding all commercial communications.

11. Term & Termination

The term of our services and conditions for termination are dictated by your signed agreement. Upon termination, any clauses regarding limitation of liability, intellectual property, and confidentiality shall survive indefinitely.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
